Terms of Service
VIPTRACKS — TERMS OF SERVICE

These Terms of Service ("Terms") govern your access to and use of VIPTracks
("Service", "we", "us", "our"), operated by [YOUR COMPANY NAME] ("Company"),
a company incorporated in [JURISDICTION].
By creating an account or accessing the Service, you agree to these Terms in full.
If you do not agree, do not use the Service.

1. WHAT THE SERVICE IS
─────────────────────────────────────────────────────────────────
VIPTracks aggregates and displays publicly broadcast transponder data,
specifically:
a) ADS-B (Automatic Dependent Surveillance–Broadcast) signals transmitted
by aircraft as required under aviation regulations in most jurisdictions,
including 14 CFR Part 91 (USA), EU Regulation 1207/2011, and ICAO Annex 10.
b) AIS (Automatic Identification System) signals transmitted by vessels as
required under SOLAS Chapter V Regulation 19 and equivalent national laws.
These signals are radio transmissions broadcast openly on public radio frequencies.
The Company does not intercept private communications and does not access any
data that is not publicly broadcast.

2. ELIGIBILITY

You must be at least 18 years old to use the Service. By using the Service,
you represent that you meet this requirement and that you are not prohibited from
using the Service under any applicable law.

3. ACCOUNTS
─────────────────────────────────────────────────────────────────
3.1 You are responsible for maintaining the confidentiality of your login
credentials and for all activity that occurs under your account.
3.2 You must provide accurate registration information. We reserve the right
to terminate accounts we reasonably believe contain false information.
3.3 One person may not operate multiple free accounts. Enterprise seats are
governed by a separate Order Form.

4. SUBSCRIPTIONS AND PAYMENT

4.1 Plans. We offer Free, Pro, Intelligence, and Enterprise subscription tiers.
Current pricing is published at viptracks.com/pricing and may be updated
with 30 days' notice to existing subscribers.
4.2 Billing. Paid subscriptions are billed monthly or annually in advance.
Payments are processed by Stripe. You authorise us to charge your payment
method on each billing cycle.
4.3 Cancellation. You may cancel at any time from your account settings.
Cancellation takes effect at the end of the current billing period. We do
not provide prorated refunds for partial months, except where required by law.
4.4 Taxes. Prices are exclusive of applicable taxes. You are responsible for
any sales tax, VAT, GST, or similar taxes applicable in your jurisdiction.
4.5 Failed payments. If a payment fails, we will retry up to three times over
seven days. If payment is not received, your account will be downgraded to
the Free tier. Data accumulated during your paid subscription is retained
for 90 days before being removed from public-facing views.

5. ACCEPTABLE USE

You agree NOT to use the Service to:
a) Facilitate, plan, or assist in any act of violence, harassment, stalking,
or physical harm against any individual.
b) Track any individual for the purpose of harassment, intimidation, or
unwanted contact.
c) Violate any applicable local, national, or international law or regulation.
d) Scrape, crawl, or harvest data from the Service beyond what is permitted
by your subscription tier's API allowances.
e) Resell, sublicense, or redistribute data obtained from the Service without
a separate data licensing agreement with us.
f) Attempt to circumvent, disable, or interfere with any security feature,
rate limit, or access control of the Service.
g) Use the Service to build a competing product that substantially reproduces
our core functionality and data aggregation.
We reserve the right to terminate or suspend any account we believe violates
this section, without notice and without refund.

6. DATA ACCURACY AND DISCLAIMER

6.1 The Service relies on third-party data sources including ADS-B Exchange,
OpenSky Network, and MarineTraffic. We do not guarantee the accuracy,
completeness, or timeliness of any data displayed.
6.2 Aircraft and vessel positions may be inaccurate due to signal interference,
spoofing, technical error, or source data gaps. Do not rely on the Service
for safety-critical, navigation, or emergency purposes.
6.3 Ownership attribution (linking an aircraft or vessel to a named individual)
is based on publicly available registration records and research. Ownership
may have changed. We make reasonable efforts to maintain accuracy but cannot
guarantee correctness.

7. PRIVACY OPT-OUT PROGRAMME
─────────────────────────────────────────────────────────────────
7.1 Nature of the programme. We offer an optional, paid "Enhanced Data
Management" service to registered asset owners whereby we apply position
delays or suppress visibility of specific aircraft or vessels from public-
facing views. This is a discretionary commercial service, not a legal
obligation.
7.2 What suppression means. "Suppression" means the asset will not appear in
public maps, search results, movement logs, or coincidence reports while
the service is active and fees are current. Data continues to be collected
internally. If the service lapses, the asset becomes visible again.
7.3 No guarantee. We do not guarantee that suppression will be effective in all
circumstances, including if data appears through third-party sources outside
our control.
7.4 No admission. Offering or accepting this service constitutes neither an
admission that publishing the data is unlawful, nor a waiver of any of our
legal rights.
7.5 Enquiries. Contact privacy@viptracks.com to discuss asset suppression.
All arrangements are subject to a separate written agreement.

8. INTELLECTUAL PROPERTY

8.1 Our property. The Service, including its software, design, user interface,
compiled data sets, coincidence detection algorithms, and all related
technology, is owned by or licensed to the Company.
8.2 Your licence. Subject to these Terms, we grant you a limited, non-exclusive,
non-transferable, revocable licence to access and use the Service for your
own personal or internal business purposes.
8.3 Source data. Underlying transponder data (ADS-B, AIS) is not owned by
the Company. We make no copyright claim over raw position data. Our
intellectual property interest is in the compiled database, analysis tools,
presentation layer, and derived works.

9. API ACCESS
─────────────────────────────────────────────────────────────────
9.1 API access is available to Intelligence and Enterprise subscribers within
the call limits specified in their plan.
9.2 You must not share API credentials. Each key is associated with one account.
9.3 We may throttle or suspend API access if usage patterns suggest abuse,
excessive load, or violation of these Terms.
9.4 Data retrieved via API is subject to the same acceptable use restrictions
in Section 5 as data accessed through the web interface.

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW:
a) THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS
OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR
PURPOSE, OR NON-INFRINGEMENT.
b) THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL,
CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR
GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.
c) OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED
TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (i) THE FEES YOU PAID TO US
IN THE 12 MONTHS PRECEDING THE CLAIM, OR (ii) USD $100.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless the Company, its officers,
directors, employees, and agents from any claims, liabilities, damages, losses,
and expenses (including legal fees) arising from: (a) your use of the Service
in violation of these Terms; (b) your violation of any applicable law; or (c)
any harm caused to a third party as a result of your use of Service data.

12. TERMINATION
─────────────────────────────────────────────────────────────────
We may suspend or terminate your account at any time for violation of these
Terms, for non-payment, or if we reasonably believe your use poses legal,
reputational, or security risk to the Service or third parties.
You may terminate your account at any time by cancelling your subscription and
deleting your account from Settings. Termination does not entitle you to a refund.

13. GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of [JURISDICTION, e.g. England and Wales /
State of Delaware], without regard to conflict of law principles.
Any dispute arising from these Terms shall be resolved by binding arbitration
administered by [ARBITRATION BODY, e.g. JAMS / LCIA] in [CITY], except that
either party may seek injunctive relief in a court of competent jurisdiction.
YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE
ARBITRATION.

14. CHANGES TO THESE TERMS

We may update these Terms from time to time. We will notify you by email and
by posting the updated Terms on our website at least 14 days before they take
effect. Continued use of the Service after the effective date constitutes
acceptance of the new Terms.
